We are a values-driven organization. Our values reflect the thinking of our founder, Ronald Bagley who is a major force in shaping the firm. Our values have been updated in small ways to reflect the changing times. He instills and informs both our long-term strategy as a firm and the way we serve our clients on a daily basis. We put aside one day a year to reflect as a group on what our values mean to both our work and our lives.

Transaction Opinions

In order to bolster decisions or manage perceived conflicts of interest, it is critical to seek an independent transaction advisor. Amid increased scrutiny of transactions and risks of litigation, you need qualified, objective advisors who can stand by and support their opinions during both the critical phase when a deal is being executed and after a transaction has been consummated.

Fairness opinions are considered a best practice in many types of transactions and can help protect board members and other fiduciaries against monetary judgments and reputational risk should the deal result in litigation. Solvency opinions performed in connection with highly leveraged transactions provide support and confidence to key stakeholders that the company has the ability to continue servicing debts and maintain ongoing operations, and that the deal will not result in a constructive fraudulent conveyance.
